Section 1. General Provisions
1.1. This Agreement defines the specifics of providing exchange services via the Online Service and at the BuySell.center office.
1.2. The services provided by BuySell.center include cryptocurrency exchange via the website, widgets, mobile applications of the company, as well as assistance in exchanging cash for cryptocurrency or cryptocurrency for cash at the office.
1.3. BuySell.center offers currency exchange based on an order created by the User in the Service, or based on the agreement of the exchange terms at the office.
1.4. Users are individuals who have reached the age of 18, or organizations that have agreed to cooperate with the Online Service or the BuySell.center office and have sufficient legal capacity to conclude transactions.
1.5. In this Agreement, the terms "User" and "Service" are used to refer to the Parties.
1.6. The Agreement has the same legal force as a written contract and governs the relationship between the Parties in the process of providing exchange services.
1.7. The Agreement is a public offer, the acceptance of which occurs by the User submitting an application for services through the BuySell.center website or by concluding a transaction at the office.
1.8. The User assumes all risks associated with the use of the Service, including risks associated with cryptocurrency transactions, as well as software, hardware or Internet connection failures. The Service is not responsible for distortions, delays or failures caused by such circumstances.
Section 2. Basic definitions used in the user agreement
2.1. User — any individual who has reached the age of 18 or an organization that uses BuySell.center services and carries out an exchange of funds through the website, mobile application or in the office. A user is any visitor to the site or client of the office, regardless of whether he or she has accepted the Agreement and carried out an exchange.
2.2. Payment system — a software and hardware product developed and controlled by a third party, representing a mechanism for accounting for monetary obligations and organizing mutual settlements, including banks servicing cards (physical, virtual, electronic wallets). BuySell.center is not responsible for errors and failures in payment systems.
2.3. Payment or financial transaction — the process of transferring funds (cash, electronic or other currencies) from the payer (User) to the recipient (Service or third party performing the exchange in the office).
2.4. Client — a person who has entered into an agreement with the payment system for the storage and use of currency in the system or providing cash or cryptocurrency for exchange in the office. Property rights to the currency belong to its owner.
2.5. Application — the User's intention to use the exchange service in the BuySell.center Service, made on the main page of the site or by agreeing on the terms in the office.
2.6. Source currency — cash or electronic currency (including cryptocurrency) that the User wants to sell for exchange for another currency.
2.7. Source account — the number of the wallet, account, card or cash provided by the User for exchange.
2.8. Resulting currency — cash or electronic currency (cryptocurrency) that the User wants to receive in exchange for the original currency.
2.9. Resulting account — the number of the wallet, account or card to which the resulting funds will be transferred, or cash issued at the office.
2.10. Currency exchange — the process of interaction between the User and the Service, including the sale of one currency and the purchase of another, carried out online or at the office.
2.11. Rate — the ratio of the cost of two currencies (cash or electronic) at the time of exchange.
2.12. KYC & AML procedures — Know Your Customer procedures to verify the User's personal data and Anti-Money Laundering procedures to verify the legality of the funds used.
Section 3. Subject of the User Agreement
3.1. The subject of this agreement is the provision of cash and electronic currency exchange services, including cryptocurrencies, through the BuySell.center Service, including through the website, mobile applications and assistance in exchange at the office.
Section 4. Procedure for the provision of services
4.1. The User places an order for currency exchange independently on the main page of the Service or by agreeing on the terms at the office.
4.2. The Agreement allows for the transfer of funds between two individuals. The sender uses a convenient currency for the transfer, and the recipient provides their wallet or bank details to receive funds. BuySell.center provides exchange and transfer services for funds using the specified details, and in the case of offline exchange, assists in organizing the transaction.
4.3. The User confirms that he or she legally owns the currency at the time of the transaction and that the funds used are not related to illegal activities. BuySell.center is not responsible for the legality of the funds exchanged by the User.
4.4. BuySell.center undertakes to promptly take all actions to avoid changes in the rate, and not to change it after creating an application or agreeing on the terms in the office, except for cases provided for in this Agreement.
Section 5. Cost of Services
5.1. The cost of services is determined by the BuySell.center management and is published on the website or reported in the office.
5.2. BuySell.center has the right to change the exchange rate and the size of the commission at its own discretion and undertakes to notify Users of changes through the appropriate section on the website or in the office. Changes come into force from the moment of publication.
5.3. The commission is charged when the transaction is carried out.
Section 6. Exchange of electronic currency
6.1. Questions and claims regarding applications are accepted within 24 hours from the moment of registration. After this period, applications are considered completed or unpaid, depending on their status.
6.2. The rate is not fixed at the time of the application, but is recalculated depending on stock exchange quotes. The rate is fixed only after receiving funds from the User to the Service account. Funds are considered received after actual receipt or the required number of confirmations in the blockchain network.
6.3. Applications requiring operator participation are processed during business hours (10:00 - 23:00 Moscow time).
6.4. If less cryptocurrency is sent than specified in the application (for example, 0.1 BTC is specified, but 0.01 BTC is sent), a commission of 10% of the actual amount will be withheld.
6.5. When canceling an application, a commission of up to 25% + network commission is withheld.
6.5.1. If the funds have already been transferred to the Service account, the refund is made with a deduction of up to 25% of the exchange amount.
6.5.2. Refunds are made only during business hours. The refund application is accepted by e-mail Team@BuySell.center indicating the application number, reason for return and details. The letter must be sent from the e-mail specified in the application.
6.6.1. If the User's card does not correspond to the selected bank, a refund is made with a deduction of a 5% commission.
6.6.2. If the client's details are included in the blacklists of the payment system, BuySell.center has the right not to return the funds.
6.6.3. The User is obliged to pay for the application only to the specified details. In case of an error in the details, BuySell.center has the right to withhold up to 10% of the exchange amount and return the funds.
6.6.4. BuySell.center is not liable to the User for any consequences arising after the completion of the transaction and the fulfillment of all obligations under the agreement, except for cases expressly provided for in this Agreement.
6.7.1. The User is obliged to pay for the application within 30 minutes and provide proof of payment. Restoring the application is possible through technical support. The payment amount is recalculated at the time of actual receipt of payment.
6.7.2. Funds must be received in the amount specified in the application. If the amount differs, the Service considers this an order for recalculation. A difference of up to 5% is acceptable. If the deviations are exceeded, BuySell.center has the right to terminate the agreement, refuse the application, retain up to 10% and return the funds. The commission is paid from the User's funds.
6.8. BuySell.center undertakes to fulfill the application within 24 hours, except in cases related to technical failures or force majeure.
6.9. The User can receive consultations before, during and after the exchange through official communication methods indicated on the website or in the office.
6.10.1. The User must fully familiarize himself with the contents of the application and follow all instructions. Violation of the terms may lead to a delay, withholding a fine of up to 100% of the exchange amount and recalculation of the rate. Ignoring the terms will not be accepted for consideration.
6.10.2. In the event of actions of banking organizations, such as blocking transfers, BuySell.center is not liable for financial losses. If the exchange is delayed, the recalculation will be made at the current rate at the time of receipt of funds.
6.10.3. When choosing payment without verification, the User undertakes to add a message to the payment, which will be issued by the operator. If this requirement is ignored, BuySell.center has the right to request additional verification.
6.10.4. BuySell.center has the right to request additional verification if there is a suspicion of fraud or violation of the law.
6.10.5. The transfer of funds to the recipient's account can be made in parts.
6.10.6. In the event of force majeure, the terms for fulfilling the application may be extended. The Service is not responsible for delays caused by such circumstances.
6.11. BuySell.center accepts payments only from cards of individuals. Transfers from legal entities' cards will be returned with a fee of up to 50% of the exchange amount retained.
6.12. If the payment cannot be completed automatically, the exchange will be made within 24 business hours or the funds will be returned minus the payment system fee.
Section 7. Exchange at the office
7.1. The user wishing to exchange cash for cryptocurrency (USDT) or cryptocurrency (USDT) for cash must agree in advance on the exchange amount, rate, time and place of visit to the office through the official communication channels indicated on the BuySell.center website (phone, chat, email).
7.2. The user confirms that the cash or cryptocurrency used were obtained legally and are not related to illegal activities. The user must provide identification documents (passport or other document), if required in accordance with applicable laws and KYC/AML policies.
7.3. The procedure for exchanging cash for cryptocurrency (USDT) in the office:
- The User transfers cash to the office employee authorized to conduct the exchange.
- After the office employee has counted and confirmed the amount of cash, the equivalent amount in USDT is transferred to the wallet address provided and confirmed by the User in the office.
- The USDT transfer is performed in the presence of the User via the selected blockchain network (for example, TRC20 or ERC20), taking into account the required number of confirmations specified in paragraph 7.9.
7.4. The procedure for exchanging cryptocurrency (USDT) for cash in the office:
- The exchange is carried out on a table-to-table basis: The User transfers USDT to the wallet address provided by the office employee in the presence of the User via the selected blockchain network (for example, TRC20 or ERC20). Cash in the agreed amount is on the table at the time of exchange and is transferred to the User immediately after the office employee confirms receipt of USDT in the blockchain explorer (e.g. TronScan for TRC20 or Etherscan for ERC20), taking into account the required number of confirmations (clause 7.9).
- The User is obliged to pick up the cash on the table at the time of exchange after confirming the USDT transfer. The User's refusal to receive cash at the time of exchange is equivalent to the completion of the transaction, and the Service is not responsible for the further safety of cash or other consequences.
- If the User does not pick up the cash at the time of exchange, the transaction is considered completed after signing the acceptance certificate confirming the fact of the USDT transfer and the presence of cash on the table.
7.5. Verification and confirmation:
- When exchanging cash for USDT, the User is obliged to check the receipt of USDT to their wallet at the time of exchange in the office using their own device (smartphone, computer) and the appropriate blockchain explorer (for example, TronScan for TRC20 or Etherscan for ERC20). The User confirms the correctness of the amount, the transaction hash and the absence of errors.
- When exchanging USDT for cash, the User is obliged to provide the office employee with the transaction hash to confirm the transfer of USDT in the blockchain explorer at the time of exchange. After confirmation by the employee, the User checks the correctness of the amount of cash on the table and takes it.
- The User signs the acceptance certificate confirming the fact of receiving USDT or cash, the correctness of the amount and the absence of claims. Refusal to sign the act entails the cancellation of the transaction and the return of funds (cash or USDT) minus the commission (up to 5% of the exchange amount).
- If the User is unable to verify the USDT transaction or the amount of cash on site, he/she is obliged to notify the office employee about this before the transaction is completed. In this case, the transaction is considered completed after signing the acceptance certificate.
7.6. Waiver of claims:
- By confirming receipt of USDT or cash (including the fact that cash is on the table when exchanging USDT for cash) and the absence of comments at the time of exchange, the User unconditionally agrees to the terms of the transaction and waives any claims against the Service after the exchange is completed, including claims regarding the amount, rate, delays or technical problems.
- Claims regarding the transaction are accepted only at the time of exchange in the office. After the User leaves the office or signs the acceptance certificate, the transaction is considered finally completed, and claims are not considered.
7.7. Confirmation of USDT transfer by the User:
- When exchanging USDT for cash, the User is obliged to provide the office employee with the transaction hash at the time of the transaction to confirm the transfer in the blockchain explorer. Failure to provide the transaction hash at the time of exchange relieves the Service from liability for the disputed transaction.
- If the USDT transfer is not confirmed in the blockchain or the office employee does not receive the funds for reasons beyond the control of the Service (e.g., an error in the wallet address, network failure), the Service is not liable for any possible losses of the User.
7.8. Liability of the parties:
- The Service is not liable for errors in the wallet address provided by the User or an office employee, or for problems with access to the User's wallet (e.g., hacking, loss of private keys). The User is obliged to ensure the security of their wallet and the confidentiality of private keys.
- In case of sending USDT to an incorrect wallet address specified by the User or an office employee, the Service is not responsible for the loss of funds, since transactions in the blockchain are irreversible.
- In case of force majeure (including, but not limited to, evacuation, fires, failures in the blockchain network, hacker attacks, actions of law enforcement agencies), the Service has the right to suspend the exchange. If at the time of force majeure the User does not pick up the cash on the table at the time of the exchange, the Service is not responsible for their safety after signing the acceptance certificate or the User leaving the office.
- The Service has the right to request additional verification (KYC / AML) if there is a suspicion of fraud or violation of the law, including cases of disputes about the fact of USDT transfer. If the acceptable risk level is exceeded (at the discretion of the Service), the transaction may be blocked until verification is completed, after which a refund may be possible minus the network commission and Service costs (up to 10%).
7.9. A transaction in the office is considered complete after receiving the required number of confirmations in the blockchain network, including, but not limited to:
- USDT TRC20: 25 confirmations
- USDT ERC20: 25 confirmations
- USDT BEP20: 40 confirmations
7.10. The Service has the right to refuse to conduct an exchange in the office without explanation if the User's actions raise suspicions of violating the law, KYC/AML policies or the terms of this Agreement.
7.11. In case of detection of suspicious activity during the exchange process, including disputes about the fact of USDT transfer, the Service has the right to suspend the transaction until the circumstances are clarified and an AML check is carried out using third-party services (for example, https://crystalblockchain.com/). The User is obliged to provide the requested documents or information (including transaction hash) to complete the check. Failure to provide information within 24 hours releases the Service from liability for the disputed transaction.
By submitting a currency exchange request or making an exchange at the office, the User confirms that he/she has read and agrees to the terms of this user agreement.
